Terms & Conditions

1. Services

The organization agrees to provide digital marketing services to the Customer as outlined in the service agreement. Services may include, but are not limited to, search engine optimization, social media marketing, email marketing, content marketing, and paid advertising campaigns.

2. Fees and Payment

The Customer agrees to pay the organization for the Services provided. Fees will be outlined in the service agreement and may be subject to change with prior notice. Payment is due upon receipt of an invoice.

3. Term and Termination

The term of this Agreement will begin on the date the service agreement is signed and will continue for the duration specified in the agreement. Either party may terminate this Agreement with written notice to the other party.

4. Confidentiality

Both the organization and the Customer agree to maintain the confidentiality of all information exchanged during the course of the Services. This includes but is not limited to trade secrets, marketing strategies, and customer data.

5. Ownership and License

All content created by the organization as part of the Services remains the property of the organization unless otherwise specified in writing. The organization grants the Customer a non-exclusive, non-transferable license to use such content for their own marketing purposes.

6. Representations and Warranties

The organization represents and warrants that it has the necessary expertise and resources to provide the Services outlined in the service agreement. The Customer represents and warrants that all information provided to the organization is accurate and complete.

7. Limitation of Liability

Under no circumstances shall either party be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement. The total liability of either party shall be limited to the amount paid by the Customer for the Services.

8. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the [state/country]. Any disputes arising out of or in connection with this Agreement shall be resolved through arbitration in accordance with the rules of the American Arbitration Association.

9. Entire Agreement

This Agreement constitutes the entire agreement between the organization and the Customer and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this Agreement.

10. Amendments

This Agreement may be amended or modified only in writing and signed by both parties.
